End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between You (“User” or “You”) and OpenInfer, Inc., a Delaware corporation (“Company,” “We,” or “Us”), regarding your use of the OpenInfer AI Chat software application (“Software”). By downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for evaluation or internal business use on compatible devices that you own or control during the Term.

2. Restrictions

You agree not to:

  • Copy, modify, or create derivative works based on the Software;
  • Reverse engineer, decompile, or disassemble the Software;
  • Sell, rent, lease, sublicense, or distribute the Software;
  • Use the Software to transmit unlawful, defamatory, harassing, or abusive material;
  • Use the Software in any manner that violates applicable law or infringes any third party rights;
  • Attempt to gain unauthorized access to any of the Software’s components, models, algorithms or its related systems.

3. Ownership

The Company and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks or service marks of the Company.

4. Feedback.

You agree to grant Company a perpetual, irrevocable, royalty-free and fully-paid-up license to use and exploit all feedback, comments, and suggestions in connection with Company’s business purposes, including, without limitation, the testing, development, maintenance and improvement of the Software.

5. Updates

The Company may, from time to time, provide updates, patches, or modifications to the Software. Such updates will be subject to the terms of this Agreement unless accompanied by a separate license.

6. Telemetry and Usage Data

You acknowledge and agree that the Software may automatically collect certain technical data and usage information (“Telemetry Data”) to help us improve performance, reliability, security, and user experience. Telemetry Data may include, but is not limited to, device information, operating system version, application usage metrics, error logs, and feature interaction data. This information is collected in a manner that does not directly identify you unless otherwise specified, and is used solely for analytical and operational purposes. By using the Software, you consent to this collection and use of Telemetry Data.

7. Term and Termination

This Agreement is effective for 30 days or otherwise terminated. It will automatically terminate without notice if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and delete all copies.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts located in San Mateo County.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the Software and supersedes all prior or contemporaneous understandings.
